End User License Agreement (EULA)

Important Notice

This End User License Agreement ("EULA" or "Agreement") is a legal agreement between you ("End-User" or "you") and Subcut ("Licensor," "we," "us," or "our") for the use of the Subcut mobile application ("Licensed Application" or "App"). This Agreement is between you and Subcut only, and not with Apple Inc. ("Apple"). Subcut, not Apple, is solely responsible for the Licensed Application and its content.

1. Agreement to Terms

By downloading, installing, accessing, or using the Licensed Application, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree to these terms, do not download, install, or use the App.

This EULA supplements the Apple Media Services Terms and Conditions, which also apply to your use of the Licensed Application.

2. License Scope

Subcut grants you a limited, non-exclusive, non-transferable, revocable license to use the Licensed Application on any Apple-branded products that you own or control, subject to the Usage Rules set forth in the Apple Media Services Terms and Conditions.

This license does not allow you to use the Licensed Application on any device that you do not own or control. You may not distribute or make the Licensed Application available over a network where it could be used by multiple devices at the same time.

You may not rent, lease, lend, sell, redistribute, or sublicense the Licensed Application. You may not copy (except as expressly permitted by this license), reverse-engineer, disassemble, attempt to derive the source code of, modify, or create derivative works of the Licensed Application, any updates, or any part thereof.

3. Description of Service

Subcut is a subscription tracking application that enables users to:

  • Track and manage recurring subscriptions
  • View subscription billing dates on a calendar interface
  • Calculate monthly and yearly spending totals
  • Set reminders for upcoming subscription charges
  • Export subscription data (Pro feature)
  • Sync data across devices via iCloud (Pro feature)

Important: The App is designed as a personal finance tracking tool only. It does not provide financial advice, does not have access to your bank accounts, credit cards, or payment methods, and should not be relied upon as your sole source of financial planning. The accuracy of subscription information depends on the data you enter.

4. Eligibility

To use the Licensed Application, you must:

  • Be at least 13 years of age (or the minimum age required in your jurisdiction)
  • Have a compatible iOS device running iOS 17.0 or later
  • Have a valid Apple ID for App Store access
  • Have the legal capacity to enter into this Agreement
  • Not be located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country
  • Not be listed on any U.S. Government list of prohibited or restricted parties

5. Subscriptions and Payments

5.1 Free Tier

The Licensed Application offers a free tier with limited features, including the ability to view up to 5 subscriptions, basic calendar view, and standard notifications.

5.2 Pro Subscription

Subcut Pro is available as an auto-renewable subscription with the following options:

  • Monthly: $2.99 USD per month
  • Yearly: $24.99 USD per year (includes 7-day free trial for new subscribers)

Prices may vary by region and currency. The current price is always displayed in the App before purchase confirmation.

5.3 Billing Terms

  • • Payment is charged to your Apple ID account at confirmation of purchase
  • • Subscriptions automatically renew unless canceled at least 24 hours before the end of the current period
  • • Your account will be charged for renewal within 24 hours prior to the end of the current period
  • • Free trial periods (if offered) automatically convert to paid subscriptions unless canceled before the trial ends
  • • Any unused portion of a free trial period will be forfeited when you purchase a subscription

5.4 Managing Your Subscription

You can manage or cancel your subscription at any time through your Apple ID account settings:

  1. Open the Settings app on your iOS device
  2. Tap your name at the top of the screen
  3. Tap "Subscriptions"
  4. Select "Subcut" to view options or cancel

Cancellation takes effect at the end of the current billing period. You will continue to have access to Pro features until the end of your paid period. No refunds are provided for partial billing periods.

5.5 Refunds

All purchases are processed by Apple. Refund requests must be submitted directly to Apple through their Report a Problem page. Subcut does not have the ability to process refunds directly as all transactions are handled by Apple.

6. Maintenance and Support

Subcut is solely responsible for providing any maintenance and support services with respect to the Licensed Application, as specified in this Agreement or as required under applicable law. Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the Licensed Application.

7. Warranty

Subcut is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed below.

Disclaimer of Warranties

THE LICENSED APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

SUBCUT DOES NOT WARRANT THAT:

  • The Licensed Application will be uninterrupted, timely, secure, or error-free
  • The results obtained from using the Licensed Application will be accurate or reliable
  • The Licensed Application will meet your specific requirements
  • Any errors in the Licensed Application will be corrected
  • The Licensed Application will be compatible with third-party software or services

In the event of any failure of the Licensed Application to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the Licensed Application to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the Licensed Application, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be Subcut's sole responsibility.

8. Product Claims

Subcut, not Apple, is responsible for addressing any claims by you or any third party relating to the Licensed Application or your possession and/or use of the Licensed Application, including but not limited to:

  • Product liability claims
  • Any claim that the Licensed Application fails to conform to any applicable legal or regulatory requirement
  • Claims arising under consumer protection, privacy, or similar legislation

9. Intellectual Property

Subcut, not Apple, is solely responsible for the investigation, defense, settlement, and discharge of any intellectual property infringement claim related to the Licensed Application.

The Licensed Application and its original content, features, and functionality are owned by Subcut and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

"Subcut" and the Subcut logo are trademarks of Subcut. You may not use these marks without our prior written permission.

You retain ownership of any data you input into the Licensed Application. By using the App, you grant us a limited license to process your data solely for the purpose of providing the service.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SUBCUT, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION:

  • Loss of profits, data, use, goodwill, or other intangible losses
  • Missed payments, late fees, or penalties on actual subscriptions you track
  • Unauthorized access to or alteration of your transmissions or data
  • Statements or conduct of any third party on the service
  • Any other matter relating to the Licensed Application

IN NO EVENT SHALL SUBCUT'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR FIFTY DOLLARS ($50 USD), WHICHEVER IS GREATER.

11. Legal Compliance

You represent and warrant that:

  • You are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country
  • You are not listed on any U.S. Government list of prohibited or restricted parties
  • You will comply with all applicable local, state, national, and international laws and regulations in your use of the Licensed Application

12. Acceptable Use

You agree to use the Licensed Application only for lawful purposes. You may not:

  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Licensed Application
  • Modify, adapt, translate, or create derivative works based on the Licensed Application
  • Remove, alter, or obscure any copyright, trademark, or other proprietary notices
  • Use the Licensed Application to violate any applicable laws or regulations
  • Attempt to gain unauthorized access to any systems, networks, or data
  • Interfere with or disrupt the Licensed Application's functionality
  • Use automated means to access, scrape, or interact with the Licensed Application
  • Sublicense, sell, rent, lease, transfer, or otherwise distribute the Licensed Application

13. Privacy

Your use of the Licensed Application is also governed by our Privacy Policy, which is incorporated into this Agreement by reference. Please review our Privacy Policy to understand our practices regarding the collection and use of your information.

You are solely responsible for the accuracy and completeness of any data you enter into the Licensed Application. The App relies on information you provide and does not independently verify subscription details with third parties.

14. Third-Party Terms

You must comply with applicable third-party terms of agreement when using the Licensed Application. In particular:

  • Apple Media Services Terms and Conditions: Your use of the App through the App Store is subject to Apple's terms
  • iCloud Terms: If you use iCloud sync, Apple's iCloud terms apply
  • Third-Party Services: The App may contain links to third-party websites (such as subscription service cancellation pages). We are not responsible for those services

15. Termination

This Agreement is effective until terminated by you or Subcut.

Your Rights: You may terminate this Agreement at any time by:

  • Canceling any active subscription through your Apple ID settings
  • Deleting the Licensed Application from all your devices
  • Removing your data from iCloud (if applicable)

Our Rights: We may terminate or suspend your access to the Licensed Application immediately, without prior notice or liability, for any reason, including if you breach any term of this Agreement.

Upon termination, your right to use the Licensed Application will immediately cease. All provisions of this Agreement that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

16. Apple as Third-Party Beneficiary

You acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of this Agreement, and that upon your acceptance of this Agreement, Apple will have the right (and will be deemed to have accepted the right) to enforce this Agreement against you as a third-party beneficiary thereof.

17. Changes to This Agreement

We reserve the right to modify this Agreement at any time. We will provide notice of material changes by:

  • Updating the "Last updated" date at the top of this page
  • Posting a notice within the Licensed Application
  • Sending a notification for significant changes (if you have notifications enabled)

Your continued use of the Licensed Application after changes become effective constitutes your acceptance of the revised Agreement. If you do not agree to the modified terms, you must stop using the Licensed Application.

18. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Any disputes arising from this Agreement or the Licensed Application shall be resolved through:

  1. Informal Resolution: Please contact us first at [email protected] to attempt to resolve the dispute informally
  2. Binding Arbitration: If informal resolution fails within 30 days, disputes will be resolved through binding arbitration administered by the American Arbitration Association in accordance with its Consumer Arbitration Rules

Class Action Waiver: You agree to waive any right to participate in class action lawsuits or class-wide arbitration against Subcut.

19. Severability

If any provision of this Agreement is held to be unenforceable or invalid by a court of competent jurisdiction, such provision will be modified to the minimum extent necessary to make it enforceable while preserving its intent, and the remaining provisions of this Agreement will continue in full force and effect.

20. Entire Agreement

This Agreement, together with the Privacy Policy and any supplemental terms, constitutes the entire agreement between you and Subcut regarding the Licensed Application and supersedes all prior and contemporaneous agreements, proposals, and communications, written or oral.
